Contract Law and Contract Drafting

The ability of individuals, corporations and other entities to enter into binding and legally enforceable contracts is truly one of the cornerstones of a civilized society.  More specifically, contract law is a cornerstone of almost all of our law firm’s practice areas.  Contract law has evolved into an extremely complex and intricate component of our modern legal system. As contracts increase in size, scope, value or complexity, the need for competent legal advice also increases.  We understand that well-drafted, thorough contracts will almost always result in our clients avoiding litigation and other problems down the road.  On the other hand, written contracts that are ambiguous or poorly drafted lead to more problems than they solve and our attorneys are often hired to rewrite contracts prepared by other law firms or attempt to minimize the damage caused by poorly written contracts.  Contract drafting is both an art and a science and our attorneys are experienced in drafting a wide variety of contracts in many areas of law.  Please click on any of our other practice areas for specific descriptions of some of the types of contracts that we can draft for you.

Contract Disputes or Trade Disputes

Perhaps you are already working with a company overseas or China suppliers but have hit a snag in your business relationship. Our experience in working with clients on international matters has shown that business conflicts abroad generally mirror domestic business conflicts. Yet we work to understand the nuances of working in a particular country to ensure that our legal service specifically addresses the problems you encounter. Handling matters ranging from nonpayment to product quality and performance, our lawyer possesses the essential qualities of diplomacy, accuracy and insight.

Through many years of experience in international business, arbitration and litigation, we have learned that the outcome of international disputes is often determined by a well-drafted dispute resolution provision in the business contract, or by early decisive action in arbitration or litigation. Particularly in international matters, disputes are often avoided or resolved if you act rather than react. We guide you from the initial contract drafting (Do you choose arbitration or litigation? Which nation’s law applies? In what nations’ courts can an action be brought?) through the prosecution/defense and resolution of your dispute through negotiation, arbitration or litigation. We know the courts and arbitral tribunals best applicable to your matter, be they in Shenzhen, Shanghai, Beijing, Singapore, Stockholm, London, or Hong Kong. Our contacts include lawyers, experts, translators, process servers and consultants. Let us help you manage and resolve your existing international trade matter or dispute, or draft tailored contract provisions to provide you efficient and effective resolution of any dispute that may arise.

If you are a foreign buyer, you will always encounter trade disputes with China suppliers. We have the experience tackle the issues.

Intellectual Property Litigation

Thousands of hours in the courtroom have provided our Shanghai lawyer with the skills that clients need when their patents and other intellectual-property rights are threatened.

Infringement of valuable intellectual-property rights unfortunately is all too common in today's complex global marketplace. Our Shanghai attorney is experienced in providing strategic counsel and aggressive representation to vindicate our clients' rights in a variety of intellectual property matters. In short, the intellectual property lawyers at the Lanier Law Firm have the skill and experience it takes to get justice for patent, copyright, trademark and trade secret owners.

Our Shanghai law firm has distinguished itself as the go-to law firm for inventors and artists when major corporations infringe their rights. Our clients span the globe and its intellectual property lawyers hold infringers accountable in litigation nation-wide, every day.

Employment Law

We represent clients through all phases and types of employment litigation, ranging from individual charges and cases to broad-scale class and collective actions. Our Shanghai lawyer is qualified in defending claims of employment discrimination, harassment, retaliation, wrongful discharge, wage and hour violations, entitlement to employee benefits, misappropriation of trade secrets and confidential information, unfair competition, labor-management disputes, defamation and other employment-related torts. We also represent employers in inbound and outbound immigration, employee benefits matters, and traditional labor matters.

As companies face growing challenges in today's global economy, they turn to our lawyers for advice on releases, reductions in force, WARN Act considerations, restrictive covenants for departing employees, executive compensation and bonuses, and litigation related to these areas.

International Arbitration

Our International Arbitration practice serves domestic and foreign parties before major arbitral bodies in Shanghai  and around the Asia Pacific area. Whether tackling matters before international arbitrators or handling related proceedings in the local courts, our arbitration lawyers draw upon the resources of our full-service firm to deliver dispute-resolution results for our clients.

Our team includes attorneys who have been recognized as Leading Lawyers by Chambers and who have been honored as fellows of the Chartered Institute of Arbitrators and as ICC-registered arbitrators. Our practice has been recognized by Global Arbitration Review. Our arbitration specialists call on experienced commercial litigators, international trade specialists, foreign-qualified lawyers, transnational corporate practitioners and colleagues in numerous complementary disciplines to field the most appropriate team for any given matter. We understand the business aspects of arbitration disputes and shape the process to achieve the client’s core business objectives.

We arbitrate for clients in a broad range of industries and commercial sectors, with particular experience in insurance and reinsurance matters, political risk disputes, securities, trade, energy, contracts, technology, patent licensing, employment and bilateral investment disputes.

Family Law

All of our lawyers devote a significant portion of their practice to Family Law and Domestic Litigation.  The area of Family Law encompasses Divorce, Child Custody and Visitation, Child Support, Spousal Support, and Equitable Distribution. We appreciate the emotional component of Divorce.  As a result, we try to balance zealous representation of our clients with a result-oriented approach to litigation.  We recognize that the dissolution of a marriage or a dispute over the custody of children present some of the most emotional and important areas in which an attorney can practice.  We take our role as an advocate for clients in domestic disputes seriously and we endeavor to minimize the emotional toll that such cases take on all the participants, especially the children.  We do not believe that zealous representation and a result-oriented approach to family law cases are mutually exclusive.

Mediation and Arbitration

Mediation is a form of dispute resolution that is becoming an increasingly popular alternative to litigation.  Mediation provides the parties an opportunity to resolve their disputes in way that is mutually acceptable and, at the same time, avoiding protracted litigation. Mediation is a collaborative process whereby opposing sides of a dispute work together toward a settlement or resolution of the dispute.  The mediator facilitates this process.  It is important to remember that the mediator’s ultimate goal is to help the parties resolve the dispute themselves.

Arbitration is also an alternative method of dispute resolution.  Our lawyers are available to serve as arbitrator in suits in Superior or local Court.  An Arbitrator serves like a judge and makes decisions based on the information presented by the parties.  However, arbitration tends to be more efficient and less expensive than a courtroom trial.

Workers’ Compensation

When an employee is injured on the job, a claim under the Workers’ Compensation Act may arise.  This area is similar to Personal Injury law in that both areas require a working knowledge of the mechanisms of injury and other medical issues.  However, Workers’ Compensation also involves its own set of rules.  Our Shanghai attorney has handled many Workers’ Compensation cases during his years of practice.

Commercial Litigation

Our lawyer has been working with various business clients for many years.  Our lawyer has assisted in various types of litigation that may arise in commercial settings, including lease and contract disputes, construction disputes and negligence actions.  We recognize that businesses need to avoid litigation in order to be profitable.  It is because of that understanding that we regularly advise our clients on ways to improve their business practices in order to avoid commercial litigation.  We also counsel our business clients about practices and procedures that they can implement in order to give them as many advantages and protections as possible should litigation become necessary.

Criminal Law

When charged with a criminal offense, a knowledgeable attorney who understands the criminal justice system will many times be your greatest asset.  Not knowing your rights when faced with a criminal prosecution can be frustrating, confusing, and most importantly detrimental to the outcome of your case.  We at Shanghai Law Firm believe that when confronted with a criminal conviction you should be informed of the rights guaranteed to you by the China Criminal Law.  Whether you are charged with a felony or a misdemeanor, we can assist you by providing knowledge of criminal procedure, negotiating with the prosecutor, presenting the facts, cross-examining witnesses at trial, and advocating on your behalf when the deck may seem stacked against you.
